Terms of Use

Last updated October 31, 2026

1. About these terms

SEOULISTIC by NXC (the “Site”) is operated by NEXORA COLLECTIVE INC. (“NXC”, “we”), Toronto, Ontario, Canada. These terms apply to every account, order request, offer and order on the Site. By applying for an account or sending an order request, you agree to them on behalf of your business.

The Site is for business buyers only — retailers, distributors, wholesalers and online sellers buying for resale. It is not for personal purchases; retail shoppers can visit seoulistic.ca.

2. Accounts

Accounts are approved by NXC. You agree to give accurate business information and documents, keep them up to date, and keep your sign-in private. You are responsible for what is done under your account.

An account becomes dormant if it has no deposit-paid order within 30 days of approval, or for 6 months after its last order; you can request reactivation. NXC may suspend or close an account that breaks these terms or a brand's sales restrictions, or that gives false information.

3. Catalogue and prices

Catalogue prices are wholesale prices, FOB Korea unless stated otherwise, and follow supplier costs and exchange rates. Prices are based on current supplier costs and exchange rates. Until the order is confirmed with the deposit, NXC may revise this offer if supplier costs or exchange rates change by more than 3%; once confirmed, prices are fixed.

The minimum order is CAD 1,000 / USD 750 of goods per order. Products ship in full cartons and some have an MOQ, shown on the product. If a price on the Site is clearly wrong, NXC isn't bound by it: we'll correct it in the offer, and you can decline.

4. Order requests, offers and orders

An order request is not binding. NXC answers with a formal offer and proforma invoice, valid until the date shown on it (14 days if none is shown). An order is confirmed when NXC receives your deposit for an offer that is still valid; prices are then fixed.

Products are sourced from Korean brands and suppliers after you confirm. Goods usually leave Korea about 3 weeks after the deposit. Lead times are estimates and may change — sourcing from Korean suppliers can take longer than planned. If an item can't be secured, NXC tells you, the item is removed from the order and the total is adjusted.

5. Payment

A 30% deposit (or the deposit stated on your offer) confirms the order. The balance is due within 14 days of our “goods ready” notice, and goods are released only once paid in full. Payments are made by wire transfer, EFT or Interac e-Transfer in the currency of the offer; your bank's fees are yours.

If the balance isn't paid in time, NXC may cancel the order and keep the deposit as credit (see section 8).

6. Shipping, freight and Incoterms

The Incoterm on your offer (Incoterms 2020) sets who books and pays the freight and where risk passes to you: FOB Busan and FCA Incheon in Korea; DAP and DDP at your address in Canada. On FOB orders NXC charges USD 35 per shipment plus USD 3.50 per carton to deliver to your forwarder in Korea and file the export. See the FAQ for each option.

Freight (and import duties on duties-paid orders) on the offer are estimates. The deposit is taken on the estimated total; once the goods are packed and measured, NXC confirms the final freight and duties and the balance is adjusted up or down. If they come to more than 10% above the estimate, NXC asks you to confirm the new total before shipping — or you may switch to another shipping option.

On DDP orders NXC is the importer of record and pays import duties; GST/HST is charged on NXC's invoice. On every other term you are the importer of record and pay duties and taxes on import.

7. Importing and reselling

You are responsible for importing and reselling the products lawfully in your market and channels — for example cosmetic notifications, labelling (including bilingual labelling where required), and registrations for SPF products (NPN/DIN in Canada, OTC in the US). Product information on the Site comes from brands and suppliers and is provided for convenience; check it for your market.

Some brands can't be sold in certain countries or sales channels. They are hidden or blocked for affected accounts, and you agree not to resell products where a brand's restrictions forbid it. Currently, we cannot accommodate requests for platform-specific supporting documentation (e.g. marketplace brand authorizations, letters of authorization or invoices for category approval) or specialized compliance information.

Brand materials you download (catalogues, company profiles) are for selling that brand's products only, and may not be published or shared further without the brand's permission.

8. Cancellations, refunds and credit

The deposit confirms the order and NXC orders the goods from its suppliers. If an item (or part of it) can't be secured, it's taken off the order and the total goes down; what you paid stays on the order and counts toward the smaller balance, and anything paid beyond the new total becomes account credit (or is refunded on request). The rest of the order goes ahead. A confirmed order can't otherwise be cancelled — if it is, what you paid is kept as credit for a later order. The balance is due within 14 days of our "goods ready" notice — after that NXC may cancel the order and keep the deposit as credit.

Credit is held on your account and can be used toward the deposit or balance of any order. It is not transferable and is not paid out in cash, except a refund you ask for on an overpayment, or as NXC agrees in writing.

9. Inspection and claims

Please check expiry dates, defects and quantities on arrival and report any issue within 7 days with photos or videos. Damage in transit is claimed with the carrier or your forwarder. If a claim is accepted, NXC replaces the goods, credits or refunds their price — at NXC's choice. Products are sold as supplied by the brand; NXC gives no other warranty about their suitability for a particular market or use.

10. Limitation of liability

To the extent the law allows, NXC's total liability for an order is limited to the amount you paid for the goods concerned, and NXC is not liable for indirect or consequential losses such as lost profit, lost sales or marketplace penalties. NXC is not responsible for delays or failures caused by events outside its control, including supplier shortages, carrier or customs delays, strikes and natural events.

11. Changes, governing law and contact

NXC may update these terms; the version on the Site when you confirm an order applies to that order. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Toronto, Ontario have jurisdiction.
